The Arabic version of these terms is the authoritative version. In the event of any conflict or discrepancy between the Arabic and English versions, the Arabic version shall prevail.

Introduction

Basir provides information systems and services to its clients through a cloud-based POS system. If you browse any of our websites or use any of our services, you agree to comply with and be bound by these terms. These terms are binding for any use of the service and apply to you from the time Basir provides you with access to the service.

By registering and using the service, you acknowledge that you have read and understood these terms and have the authority to act on behalf of any person or entity for whom you are using the service.

Definitions

Basir: Refers to the cloud-based POS system service provider.

Client: Refers to the person or entity that subscribes to the service.

User: Any person authorized by the client to use the service (employees, managers).

Service: Includes the POS system, inventory management, reports, KDS, and all related services.

License and Use

Basir grants the client the right to access and use the service in accordance with these terms under a limited, non-exclusive, non-transferable, non-sublicensable license. Basir may grant or restrict this access according to the following conditions:

  • 1.Payment of subscription fees determined by Basir
  • 2.No violation of any terms of use
  • 3.No legal or regulatory prohibition from using the service
  • 4.Use of the service only for lawful and stated purposes

Important: This license does not include the right to resell or use the service for commercial purposes on behalf of others without written consent from Basir.

Client and User Obligations

The client/user must:

  • Maintain confidentiality of login credentials (username and password)
  • Choose a strong password compliant with international standards
  • Change passwords periodically
  • Not share login credentials with any unauthorized party
  • Define user permissions and monitor their activity
  • Not attempt to hack or compromise system security
  • Not use the system in ways that may harm performance or prevent other users
  • Comply with all local laws and regulations when using the service
  • Provide accurate and truthful information during registration

Subscriptions and Fees

Payment and Renewal

Subscription fees are determined based on the chosen plan. Payment is made in advance on an annual basis or according to the agreed plan. Subscriptions renew automatically unless canceled before the end of the subscription period.

Cancellation and Refunds

The client may cancel the subscription at any time. In case of cancellation:

  • Access to the service continues until the end of the paid subscription period
  • Fees for the remaining period are not refunded except in exceptional cases
  • Basir is committed to granting the client temporary access to the system after the subscription expires to retrieve their information when needed, and access will be closed after a limited period

Fee Modifications

Basir reserves the right to modify subscription prices with prior notice to clients. Modifications will not affect active subscriptions until renewal.

Updates and Maintenance

Basir may from time to time issue updates, upgrades, improvements, or new versions of the system, which may include adding or removing certain features.

  • Updates are usually performed outside peak hours
  • Users are informed of important updates in advance
  • Instructions are provided on how to use new features
  • Basir reserves the right to perform emergency updates for system security

We reserve the right to discontinue certain services at any time, and none of these terms can be interpreted as a guarantee of continuity of any specific service or our commitment to support it indefinitely.

Technical Support

Basir provides technical support and maintenance services to clients through available communication channels to address any technical issues or inquiries that may arise when using the service.

Basir provides each establishment with a dedicated account manager who understands the nature of the client's business and provides fast, personalized support. The account manager may change from time to time, and the client will be notified accordingly.

Important note: All technical support and maintenance services are provided remotely and do not include field visits, free training services, or performing operational tasks on behalf of the client, unless otherwise agreed in writing.

Data Warranty and Security

Basir is committed to protecting client data through:

  • Storing data on secure servers protected by the highest cybersecurity standards
  • Performing regular periodic backups to ensure no data loss
  • Using advanced encryption protocols to protect data from unauthorized access
  • Continuous monitoring and maintenance of infrastructure to preserve data integrity

Clients are advised to keep backup copies of their critical data outside the system as an additional precautionary measure. In case of any data access issues, Basir must be notified immediately for processing.

Account Cancellation and Suspension

Basir may cancel or suspend a client's account in the following cases:

Material breach: Committing a material or ongoing breach of these terms

Non-payment: Delay in paying subscription fees

Illegal use: Using the service in ways that violate laws

Security threat: Use that poses a threat to system security or other users

Intellectual Property Rights

All intellectual property rights in the system and services (including software, design, logos, content) are owned by or licensed to Basir. The client is not granted any ownership rights, only a limited right to use.

Client data (products, invoices, customers) remains the property of the client.

Limitation of Liability

Basir provides the service "as is" without express or implied warranties. Basir is not liable for:

  • Any indirect or consequential damages resulting from use of the service
  • Data loss resulting from user error or force majeure
  • Service interruption for reasons beyond our control
  • Client business decisions based on reports or data

In all cases, Basir's maximum liability does not exceed the amount paid by the client during the twelve months preceding the incident.

Governing Law

Any dispute arising from these terms shall be resolved according to the procedures followed in the Kingdom, and the City of Riyadh shall be the exclusive reference for resolving any legal disputes.
